Doclair is a document intelligence tool. Nothing on the platform constitutes legal advice, creates an attorney-client relationship, or replaces qualified legal counsel. Always consult a lawyer before acting on contract or compliance information.
1. Who We Are
Doclair is operated by Doclair Ltd, a company registered in England and Wales. References to "Doclair", "we", "us", or "our" throughout this document refer to Doclair Ltd.

2. Accepting These Terms
By creating an account or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you are accepting on behalf of a company or organisation, you confirm you have authority to bind that entity.
If you do not agree to these Terms, you must not access or use Doclair.
3. What Doclair Does
Doclair is an AI-powered document intelligence platform. It helps founders, operators, and their teams organise, review, and extract insight from contracts, vendor agreements, compliance documents, and other business-critical files.
Doclair is designed for internal operational use. It is not a legal service. Outputs from the platform — including document summaries, risk flags, clause suggestions, and questionnaire auto-fill responses — are AI-generated and should be reviewed by a qualified person before being relied upon.
4. Your Account
To access the full Service you will need to register. You agree to:
- Provide accurate and complete registration information
- Keep your password confidential and not share account credentials
- Notify us promptly at support@doclair.io if you suspect unauthorised access
- Accept responsibility for all activity that occurs under your account
We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.
5. Acceptable Use
You may use Doclair only for lawful purposes and in accordance with these Terms. You must not:
- Use the Service to violate any applicable law or regulation
- Upload documents or content that infringes the intellectual property or privacy rights of others
- Attempt to reverse-engineer, scrape, or extract data from the Service using automated means
- Interfere with or disrupt the Service, its infrastructure, or other users
- Use the Service to process documents you do not have the right to process
- Misrepresent your identity or organisational affiliation
- Use outputs from the Service as a substitute for professional legal, financial, or compliance advice without independent review
6. Your Documents and Data
Ownership
You retain full ownership of all documents, files, and content you upload to Doclair ("Your Content"). We do not claim any intellectual property rights over Your Content.
Licence to operate the Service
By uploading Your Content, you grant Doclair a limited, non-exclusive, royalty-free licence to process, store, and index Your Content solely for the purpose of providing the Service to you. We do not use Your Content to train AI models or share it with third parties except as set out in our Privacy Policy.
Your responsibilities
You represent and warrant that:
- You have the right to upload and process the documents you submit
- Your Content does not violate the rights of any third party
- You comply with any confidentiality obligations attached to documents you process through the Service
Data security during beta
While we take reasonable steps to protect your data, beta software carries inherent risk. In rare circumstances, data loss or corruption may occur. We strongly recommend maintaining your own backups of any documents you upload.
7. AI-Generated Outputs
Doclair uses AI to analyse documents and generate outputs including summaries, risk assessments, clause flags, and questionnaire responses. You acknowledge that:
- AI outputs may be incomplete, incorrect, or outdated
- Outputs are not a substitute for professional legal or compliance advice
- You are responsible for reviewing and validating AI-generated outputs before relying on them
- Doclair does not guarantee the accuracy of any AI-generated content
The AI models used by Doclair are third-party services (including Google Gemini). Their processing of your data is subject to their respective terms and our Privacy Policy.
8. Intellectual Property
All rights in the Doclair platform — including the software, interface, design, branding, and underlying technology — belong to Doclair Ltd or its licensors.
We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business purposes during your subscription term. This licence does not permit you to:
- Copy, modify, or distribute any part of the platform
- Create derivative works based on the Service
- Remove or obscure any proprietary notices
- Sublicense or resell access to the Service
9. Third-Party Services and Links
The Service integrates with or links to third-party tools and platforms (including AI model providers, cloud storage, and payment processors). Doclair is not responsible for the content, availability, or practices of third-party services.
Your use of third-party services integrated with Doclair is subject to their own terms and privacy policies.
10. Subscriptions and Billing
Paid plans
Certain features of Doclair require a paid subscription. Subscription fees are billed in advance on a monthly or annual basis, as defined in the contractual agreement at the time of purchase.
30-day guarantee
New subscribers are entitled to a full refund if they request one within 30 days of their initial subscription date, provided the account has not violated these Terms. To request a refund, contact support@doclair.io with your account details and reason.
Refund eligibility after 30 days
Refund requests after the initial 30-day period will be reviewed on a case-by-case basis, taking into account factors such as:
- Material technical failures that prevented use of the Service
- Significant and sustained service outages
- Billing errors or duplicate charges
Refunds are generally not available for: subscription periods during which the Service was used, add-ons or premium features that were consumed, accounts terminated for Terms violations, or requests made more than 60 days after the charge date.
Cancellation
You may cancel your subscription at any time to stop future charges. Cancellation does not automatically trigger a refund for the current billing period.
Processing
Approved refunds are processed within 10–14 business days to the original payment method. Your financial institution may take additional time to reflect the credit.
11. Disclaimers
The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, Doclair disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that any outputs will be accurate or complete.
12. Limitation of Liability
To the fullest extent permitted by law, Doclair and its directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service, including but not limited to:
- Loss of data, revenue, or business
- Decisions made in reliance on AI-generated outputs
- Unauthorised access to or alteration of your content
- Third-party conduct on or connected to the Service
Where liability cannot be excluded by law, our total liability to you will not exceed the total fees you paid to Doclair in the 12 months preceding the claim.
13. Indemnification
You agree to defend, indemnify, and hold harmless Doclair Ltd, its officers, directors, employees, and agents from any claims, liabilities, damages, costs, or expenses (including reasonable legal fees) arising from your violation of these Terms or your use of the Service.
14. Termination
We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms or if we cease to operate the Service.
You may terminate your account at any time by contacting support@doclair.io or discontinuing use. On termination, your licence to use the Service ends immediately.
Provisions that by their nature should survive termination (including intellectual property, limitation of liability, indemnification, and governing law) will continue to apply.
15. Governing Law and Disputes
These Terms are governed by and construed in accordance with the laws of England and Wales.
Any dispute arising out of or in connection with these Terms or the Service will be subject to the exclusive jurisdiction of the courts of England and Wales.
Before initiating any legal proceedings, we encourage you to contact us at support@doclair.io to resolve any dispute informally.
16. Changes to These Terms
We may update these Terms from time to time. Where changes are material, we will notify you via the Service or by email at least 14 days before the changes take effect.
Your continued use of the Service after the effective date of any changes constitutes acceptance of the updated Terms. If you do not accept the changes, you should stop using the Service and contact us to close your account.
17. General
Severability
If any provision of these Terms is found to be invalid or unenforceable, that provision will be modified to the minimum extent necessary, and the remaining provisions will continue in full force.
Entire agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Doclair in relation to the Service and supersede all prior agreements and understandings.
No waiver
Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.
